Terms of Sale & Use

These Terms are a binding agreement between you and SkyForge LLC ("SkyForge", "we", "us"), which owns and operates Funder Finder. When you use this site or buy a report, you are contracting with SkyForge LLC. By using the site, running a preview or completing a purchase, you accept these Terms. If you do not agree, do not use the site.

1. Who may use the service

You must be at least 18 years old. If you act for a nonprofit or other organization, you confirm you are authorized to bind it to these Terms, and "you" includes that organization. You agree to give accurate information and keep it accurate.

2. What you are buying

A Funder Finder report is a one-time digital research product. It is a ranked list of private foundations drawn from public IRS Form 990-PF filings, based on the information you enter (cause areas, state, ZIP code and budget band). It includes, where the filings provide them, foundation names, contact and application details, past grant amounts, example grantees and links to source filings, with Excel and printable versions.

You understand and agree, before buying, that:

• The report is research only. It is not grant-writing, fundraising, legal, tax, financial or professional advice.
• It does not guarantee any grant, award, meeting, reply or funding of any kind. Funding decisions belong entirely to the foundations.
• The report reflects what foundations reported to the IRS in their most recent filings on record. Foundations naturally evolve — priorities, staff, addresses and application procedures change between filings, and some fund only by invitation — so confirm current details directly with each foundation before you apply. SkyForge is not responsible for the content of filings made by third parties.
• Rankings, tiers, matches and distances are automated estimates from filed data, not endorsements or predictions.
• The free preview shows the number and kind of results your report will contain. The report reflects data on file at the moment of purchase and is then frozen; it is not updated afterward.
• The report is delivered immediately, digitally, at a private link once payment is confirmed. You are responsible for saving that link and downloading your files.

3. Payment, billing and taxes

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellations and refunds are also governed by Paddle's Buyer Terms. The price is a one-time charge shown before checkout; there is no subscription and no automatic renewal. Refunds are covered by our Refund Policy.

4. Licence and restrictions

On full payment we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use your report for your own organization's internal fundraising research. You may not:

• resell, sublicense, publish, share publicly or redistribute any report or its contents, in whole or substantial part;
• copy our reports, rankings or compilation into a product, database or service offered to others;
• scrape, crawl, harvest or bulk-download data, use bots or automated queries, or bypass rate limits or access controls;
• reverse engineer, probe, test the vulnerability of, or interfere with the site or its security;
• use the service unlawfully, fraudulently, to send spam or harassment to foundations, or in a way that infringes anyone's rights;
• make fraudulent purchases, chargebacks or refund requests.

5. Ownership

SkyForge LLC owns the site, software, ranking methods, design, compilation, report format, documentation, and the Funder Finder name and branding, and all related intellectual property. Underlying public records remain public; our selection, arrangement, scoring and presentation of them are ours. Nothing in these Terms transfers ownership to you.

6. Your information

You let us store and process the information you submit solely to provide the service, as described in our Privacy Notice. You are responsible for what you submit.

7. No warranties

The site, previews and reports are provided "as is" and "as available". To the fullest extent permitted by law, SkyForge LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, completeness, timeliness, non-infringement, and any warranty that the service will be uninterrupted, secure or error-free, or that any result will be obtained.

8. Limitation of liability

To the fullest extent permitted by law, SkyForge LLC and its members, managers, employees and contractors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost grants, lost funding, lost profits, lost revenue, lost data, lost opportunity or loss of goodwill, however caused and even if advised of the possibility. Our total liability for all claims relating to the service or any report will not exceed fifty U.S. dollars (US$50). This limit is separate from, and does not reduce, any refund available under our Refund Policy.

Nothing here limits liability that cannot be limited by law, such as for fraud, or for death or personal injury caused by negligence.

9. Indemnity

You will defend, indemnify and hold harmless SkyForge LLC and its members, managers, employees and contractors from any claim, loss, liability or expense (including reasonable legal fees) arising from your use of the service or reports, your contact with any foundation, information you submit, or your breach of these Terms or the law.

10. Suspension and termination

We may suspend or end your access, or disable a report link, without liability if you materially breach these Terms, fail to pay, reverse a payment, create a security or fraud risk, or repeatedly or seriously violate our policies. Sections 2 and 4–13 survive termination. Reports are frozen records; we may retain them as described in the Privacy Notice.

11. Disputes, arbitration and class waiver

Please contact us first at Support@Skyforgellc.net; most issues can be resolved quickly. If a dispute cannot be resolved within 30 days, it will be settled by binding individual arbitration administered by the American Arbitration Association under its applicable rules, rather than in court, except that either party may bring an individual claim in small-claims court, and either party may seek injunctive relief for misuse of intellectual property. You and SkyForge LLC each waive the right to a jury trial and to bring or join any class, collective or representative action. Any claim must be brought within one year after it arises, or it is permanently barred, where the law allows.

12. Governing law

These Terms are governed by the laws of the U.S. state in which SkyForge LLC is organized, without regard to conflict-of-law rules, and by the Federal Arbitration Act.

13. General

Neither party is liable for delays caused by events beyond reasonable control. You may not assign these Terms without our written consent; we may assign them in a merger, acquisition or sale of assets. If any part is unenforceable, the rest remains in effect. These Terms, the Refund Policy and the Privacy Notice are the entire agreement on this subject. We may update these Terms; changes apply to use and purchases after the posted date.
